FOXSALIA TERMS & CONDITIONS

1. Definitions
'Client' — the person or entity requesting services from Foxsalia
'Foxsalia' — the concierge and lifestyle management company arranging services on behalf of the Client
'Service Provider' — any third-party supplier engaged to deliver services
'Services' — concierge, lifestyle management, and procurement services arranged by Foxsalia
'Service Price' — the total price payable for the Services
'Authorised Agent' — a person or entity authorised to act on behalf of the Client
2. Engagement Conditions
2.1 These Terms apply to all services arranged by Foxsalia on behalf of the Client.
2.2 The Client appoints Foxsalia as its agent for the purpose of sourcing and arranging Services, subject to these Terms and the terms of any relevant Service Provider.
2.3 Foxsalia acts as an intermediary only. It is not itself a direct provider of travel, retail, hospitality, or other third-party services. Any claims arising from the performance of third-party services must be directed to the relevant Service Provider.
3. Responsibilities
3.1 The Client warrants that all information provided to Foxsalia is accurate, current, and not misleading, and that Services will be used for legitimate purposes in compliance with all applicable laws.
3.2 The Client acknowledges that Foxsalia has no liability for the performance of Services carried out by third-party Service Providers.
3.3 All Services are subject to availability, third-party capacity, and conditions beyond Foxsalia's control.
3.4 The Client agrees to indemnify Foxsalia against any losses arising from inaccurate information or the Client's failure to comply with third-party requirements.
4. Service Requests & Requirements
4.1 The Client is responsible for providing all information required to fulfil a Service request accurately and in good time.
4.2 Foxsalia will make reasonable efforts to communicate any changes to Services notified by a Service Provider, but accepts no liability for failure to do so where circumstances are beyond its control.
4.3 In the event a Service Provider is unable to perform, Foxsalia will use reasonable efforts to source an alternative at comparable cost. Any difference in cost remains the Client's responsibility.
4.4 Foxsalia reserves the right to substitute a Service Provider or arrangement where necessary, without notice, provided the replacement is of equivalent or superior quality.
5. Pricing, Fees & Payment
5.1 The Client must pay the Service Price in full in accordance with these Terms.
5.2 Engagement is confirmed upon written agreement (email, WhatsApp, or other electronic communication) and/or payment of a deposit.
5.3 A deposit of no less than 25% (or such other amount as agreed) is due upon confirmation. Full payment is due no less than 30 days prior to service delivery. For requests made within 30 days of delivery, 100% is due immediately.
5.4 If payment is not received in accordance with these Terms, Foxsalia may cancel the arrangement and retain a portion of any deposit to cover costs incurred.
5.5 Additional fees may apply, including but not limited to: supplier surcharges, itinerary changes, taxes, duties, rush premiums, and third-party charges. The Client will be notified where these are material.
5.6 If any amount remains unpaid, Foxsalia may apply interest and administration charges on outstanding sums.
5.7 All amounts are inclusive of applicable taxes unless stated otherwise. A valid invoice will be provided on request.
6. Authorised Agents
6.1 Where the Client acts as an agent for a third party, it confirms it has full authority to bind that party and accepts full responsibility for compliance with these Terms.
6.2 Foxsalia has no liability to any third party for an Authorised Agent's failure to comply with these Terms. The third party's recourse is against the Authorised Agent only.
7. Cancellation & Refunds
7.1 All cancellations must be made in writing to sales@foxsaliagroup.com.
7.2 The following cancellation charges apply:
Cancellation with immediate effect: 20% of total Service Price
Cancellation less than 14 days before delivery: 50%
Cancellation less than 7 days before delivery: 75%
Cancellation less than 72 hours before delivery or no-show: 100%
7.3 Foxsalia will use reasonable efforts to recover costs from Service Providers where possible, but cannot guarantee refunds beyond those obtained from third parties.
8. Data Privacy
8.1 Both parties agree to comply with applicable data protection law. Foxsalia's handling of personal data is governed by its Privacy Policy, available at www.foxsaliagroup.com.
9. Dispute Resolution
9.1 If a dispute arises, either party may issue a written notice setting out full details.
9.2 Within 14 days, both parties must make reasonable efforts to resolve the matter through direct discussion.
9.3 Neither party may commence formal proceedings without first completing this process, except where urgent interim relief is required.
10. Force Majeure
10.1 Neither party is liable for failure or delay caused by circumstances beyond reasonable control, including acts of God, civil unrest, terrorism, governmental action, or infrastructure failure.
10.2 If a force majeure event persists for more than 30 days, either party may terminate by written notice.
11. Liability
11.1 Foxsalia's liability is limited to its role as intermediary. It is not liable for the acts or omissions of Service Providers.
11.2 The Client is responsible for the conduct of all members of their party and liable for any damage caused.
11.3 Foxsalia is not liable for loss of profit, indirect loss, or consequential damages of any kind.
11.4 Nothing in these Terms limits liability for death or personal injury caused by Foxsalia's own negligence or fraud.
12. Termination
12.1 Either party may terminate with seven days' written notice, or immediately if the other party has committed an unremedied breach, become insolvent, or is otherwise unable to perform.
12.2 On termination, all outstanding fees remain payable and accrued rights are preserved.
13. General
13.1 These Terms constitute the entire agreement and may only be amended in writing.
13.2 If any clause is found invalid or unenforceable, the remainder continues in full force.
13.3 Foxsalia may assign or subcontract obligations. The Client may not assign without written consent.
13.4 Electronic acceptance (email, WhatsApp, or other digital communication) constitutes a binding agreement.
13.5 These Terms are governed by the laws of Cyprus. Each party submits to the non-exclusive jurisdiction of the courts of Cyprus.
